Kontara

Terms and conditions

The general terms for using the Kontara service, and for this website.

Draft. These terms are a draft and have not yet been reviewed by a lawyer. They are not in force yet; until they are, the contract agreed with each firm applies.

Last updated: [DATE]

1. Who we are

Kontara is a product of [LEGAL NAME OF RED TO BLUE] ([LEGAL FORM]), [STREET ADDRESS], [POSTCODE AND CITY], the Netherlands, Chamber of Commerce (KvK) number [KVK NUMBER] ("Red to Blue", "we" or "us"). You can reach us at [CONTACT EMAIL].

These terms apply to the use of Kontara by accounting firms and their users, and to this website. Where a firm's signed order or contract says something different, that contract applies.

2. Definitions

Firm, or you: the accounting firm that has an agreement with us to use Kontara.

Client: a company the firm keeps the books for and has added to Kontara.

Users: the people with a Kontara login. These are the firm's staff (Basic, Manager or Admin) and the clients' staff (client user or client admin).

Service: the Kontara application, which means the firm console and the client app on the web, iPhone and Android.

3. The service

Kontara helps an accounting firm run its clients' monthly bookkeeping. It reads documents and proposes how to book them, matches bank lines to invoices, asks clients for missing documents, registers sales invoices and exports each month as files SAGA can import. It also shows sales and purchase journals, D300 and D390 summaries, a D406 check and dashboards.

Kontara is for businesses only. We offer it to accounting firms, and through them to their clients. It is not meant for consumers.

4. Your accountants decide

Kontara prepares and proposes; your accountants decide. The firm remains fully responsible for its clients' accounting, for the filings it makes and for the advice it gives. Check what Kontara prepares before you rely on it.

Kontara never submits anything to ANAF on the firm's behalf. Sales invoices are fetched from ANAF e-Factura or uploaded, and are only registered in Kontara. The D406 is checked against the books; filing it remains the firm's job.

5. AI

Kontara's AI colleague and AI document reading make proposals, and those proposals can be wrong. A person must review a proposed account, VAT rate, match or answer before anyone relies on it. Answers the AI gives clients in the app are not professional advice.

Each firm connects its own AI provider and key (Anthropic, OpenAI, Azure OpenAI or Mistral) under its own agreement with that provider. That agreement governs what the provider does with the data sent to it. We are not a party to it.

The firm controls what the AI may do: per task Off, Draft or Automatic, and AI can be switched off for the whole firm at any time. Without AI, Kontara keeps working with OCR reading and rule-based bank matching.

6. Bank connections

A client admin can connect the company's bank so that transactions are imported automatically. This is account information only: Kontara reads accounts, balances and transactions. It cannot move money and never initiates payments.

Bank connections run through licensed PSD2 account information providers, Enable Banking or GoCardless, as chosen by the firm. The client gives its consent at its own bank and signs in there; Kontara never sees the bank login details. The provider's own terms apply between the client and that provider.

A consent lasts as long as the bank allows, up to 180 days. The client can withdraw it at any time, at its bank or by removing the connection in Kontara. Transactions already imported stay in Kontara.

7. Accounts and security

Every user has a personal login. Keep your password to yourself, don't share accounts, and tell your firm's admin, or us, straight away if you think someone else has used yours.

The firm's admins create and deactivate the firm's accounts and set each colleague's tier. The firm creates its clients' accounts and sets their roles. The firm decides who gets access and is responsible for removing access that is no longer needed.

Use two-factor authentication where Kontara offers it. A client admin can require it for everyone at their company.

Don't use Kontara for anything unlawful. Don't upload malware or material you have no right to use, don't try to reach another firm's data, test or get around the security, overload the service or copy the software, and don't resell access without our written agreement. We may suspend an account that breaks these rules or puts the service at risk, and we will tell the firm when we do.

8. Data

The firm decides what happens with its clients' data and is the controller under the GDPR. Red to Blue processes that data on the firm's behalf, as processor, under the data processing agreement: [LINK TO DATA PROCESSING AGREEMENT].

The data in Kontara belongs to the firm and its clients. We use it only to provide the service and as the data processing agreement allows. Each firm's data is kept separate, and no other firm can see it. Kontara runs on Microsoft Azure in the European Union.

How this website handles personal data is described in the privacy policy.

9. Availability, support and changes

We work to keep Kontara available and secure, but we can't promise that it will always be available or free of errors. Service levels: [SERVICE LEVELS, IF ANY, AS AGREED IN THE FIRM'S CONTRACT].

We announce planned maintenance [MAINTENANCE NOTICE PERIOD] in advance where we can. Urgent security fixes may be applied without notice.

Support: [SUPPORT HOURS AND CHANNELS].

Kontara is developed continuously, so we may add, change or remove features. If a change takes away something the firm substantially relies on, we tell the firm [NOTICE PERIOD FOR SERVICE CHANGES] in advance.

10. Fees and payment

The fees, what they cover and how they are invoiced are set out in the firm's order or contract: [FEES AND INVOICING, PER THE FIRM'S ORDER OR CONTRACT].

Invoices are payable within [PAYMENT TERM]. If an invoice is not paid on time, [CONSEQUENCES OF LATE PAYMENT].

The firm's AI provider charges the firm directly for its own AI account; those costs are not part of our fees.

11. Liability

Kontara supports the firm's work but does not replace its professional judgement. We are not liable for decisions, bookings, filings or advice that the firm or its clients base on what Kontara prepared, including AI proposals.

Our total liability is limited to [LIABILITY CAP]. We are not liable for indirect or consequential loss, such as lost profit, fines imposed on the firm or its clients, or [OTHER EXCLUSIONS]. These limits do not apply to loss caused by our intent or gross negligence, or where the law does not allow them.

Kontara works with services we don't control: banks and bank connection providers, ANAF and e-Factura, the firm's AI provider, SAGA, and any document storage the firm connects. We are not liable for their availability, their content or errors, or the changes they make.

12. Term and termination

The agreement runs for [MINIMUM TERM] and then continues until either side ends it with [NOTICE PERIOD] notice, unless the firm's contract says otherwise.

Either side may end the agreement straight away if the other seriously breaches it and does not put this right within [CURE PERIOD] of being told.

After the end, the firm can ask us for an export of its data for [EXPORT PERIOD]. After that we delete the firm's and its clients' data within [DELETION PERIOD], unless the law requires us to keep it. Keeping records for the statutory retention period is the firm's own responsibility, so export what you need in time.

13. Changes, law and contact

We may change these terms. We tell firms about a change [NOTICE PERIOD FOR CHANGES TO THESE TERMS] before it takes effect. A firm that does not agree may end the agreement before the change takes effect.

These terms are governed by [GOVERNING LAW, E.G. DUTCH OR ROMANIAN LAW]. Disputes go to [COMPETENT COURT].

Questions about these terms: [CONTACT EMAIL].

14. Use of this website

The information on www.kontara.nl and www.kontara.ro is general information about Kontara. We try to keep it correct, but we don't guarantee that it is complete or up to date, and it is not an offer. Screenshots show demo data, and the time-saved calculator is plain arithmetic, not a promise.

The website, its texts and images, and the Kontara software belong to Red to Blue or its licensors. You may link to the site, but you may not copy or reuse its content without our permission.
